Terms of Service

These Terms of Service ("Terms") govern your access to and use of OruCRM ("Service"), operated by OruCRM ("we", "our", or "us"). By using our Service, you agree to be bound by these Terms.

1. Service Description

OruCRM is a customer relationship management platform that provides:

  • Customer data management and unification from multiple sources
  • Data import capabilities (CSV, Excel) and webhook synchronization
  • AI-powered analytics and insights
  • Customer segmentation and targeting
  • Email and WhatsApp broadcast campaigns
  • Workflow automations
  • Multi-organization support
  • Revenue and subscription analytics

2. Account Terms

2.1 Eligibility

You must be at least 18 years old or the legal age of majority in your jurisdiction to use our Service. By creating an account, you represent that you meet these requirements.

2.2 Account Registration

  • You must provide accurate and complete registration information
  • You are responsible for maintaining the security of your account credentials
  • You must promptly notify us of any unauthorized access to your account
  • One person may not maintain multiple accounts
  • Email verification is required to activate your account

2.3 Account Responsibilities

You are responsible for all activities that occur under your account, including actions taken by team members you invite to your organization.

3. Acceptable Use

You agree NOT to use the Service to:

  • Violate any applicable laws or regulations
  • Send spam, unsolicited messages, or violate anti-spam laws
  • Upload malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Scrape, crawl, or collect data from the Service without permission
  • Interfere with or disrupt the Service or servers
  • Impersonate others or misrepresent your affiliation
  • Store or transmit content that infringes intellectual property rights
  • Use the Service for any illegal, fraudulent, or harmful purpose

4. Customer Data

4.1 Your Data

You retain ownership of all customer data, transaction data, and other content you upload to the Service ("Your Data"). We do not claim ownership of Your Data.

4.2 License to Us

You grant us a limited license to use, store, process, and display Your Data solely to provide the Service to you. This license terminates when you delete Your Data or close your account.

4.3 Your Responsibilities

  • You are responsible for the accuracy and legality of Your Data
  • You must have all necessary rights and consents to upload and process Your Data
  • You are responsible for complying with applicable data protection laws
  • You must ensure your use of customer data for marketing complies with applicable laws

5. Subscription and Billing

5.1 Plans

We offer various subscription plans including a free tier with limited features and paid plans with additional capabilities. Plan details and pricing are available on our website.

5.2 Plan Limits

Each plan has limits on:

  • Number of customers
  • Number of transactions
  • AI queries per month
  • Team members
  • Integrations and webhooks
  • Segments and automations

5.3 Billing

  • Paid subscriptions are billed in advance on a monthly or annual basis
  • Payment is processed securely through Stripe
  • Subscriptions automatically renew unless cancelled
  • Prices may change with 30 days notice

5.4 Free Trial

New accounts receive a 14-day free trial of paid features. No credit card is required to start a trial.

5.5 Refunds

We do not provide refunds for partial subscription periods. If you cancel, you retain access until the end of your current billing period.

6. API and Webhook Terms

6.1 API Usage

  • API access is subject to rate limits based on your plan
  • You must not abuse or overload our API
  • API credentials must be kept secure

6.2 Webhooks

  • You are responsible for securing your webhook endpoints
  • Webhook secrets must be validated to prevent unauthorized access
  • You must handle webhook data in compliance with applicable laws

6.3 Third-Party Integrations

When connecting third-party platforms (WooCommerce, Shopify, etc.), you are responsible for complying with those platforms' terms of service.

7. AI Features

7.1 AI Analysis

Our AI features analyze your data to provide insights. AI responses are generated automatically and may not always be accurate. You should verify important business decisions independently.

7.2 AI Limitations

  • AI queries are subject to monthly limits based on your plan
  • We do not guarantee the accuracy of AI-generated insights
  • AI features may use third-party AI providers

8. Service Availability

8.1 Uptime

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance or due to circumstances beyond our control.

8.2 Modifications

We may modify, update, or discontinue features of the Service at any time. We will provide reasonable notice for significant changes.

9. Termination

9.1 By You

You may cancel your subscription and close your account at any time. You can export your data before closure.

9.2 By Us

We may suspend or terminate your account if you:

  • Violate these Terms
  • Engage in fraudulent or illegal activity
  • Fail to pay applicable fees
  • Abuse the Service or other users

9.3 Effect of Termination

  • Upon termination, your right to use the Service ceases immediately
  • We retain your data for 30 days after account closure
  • After 30 days, your data is permanently deleted
  • Termination does not relieve you of payment obligations

10. Intellectual Property

10.1 Our Property

The Service, including its design, features, and content (excluding Your Data), is owned by us and protected by intellectual property laws.

10.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes during your subscription.

10.3 Feedback

If you provide feedback or suggestions, we may use them without obligation to you.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure, or that defects will be corrected.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

14. Governing Law

These Terms are governed by the laws of Malaysia. Any disputes shall be resolved in the courts of Malaysia.

15. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the Service. Continued use after changes constitutes acceptance.

16. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and us
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect
  • Waiver: Failure to enforce any right does not waive that right
  • Assignment: You may not assign these Terms without our consent
